Terms of Service

1. Who we are

Quillx is a manuscript and long-form writing workspace operated by The Fifth Division Inc. (“Quillx,” “we,” “us”). These Terms of Service (“Terms”) are a binding agreement between you and The Fifth Division Inc. governing your use of the Quillx application and website (the “Service”).

By creating an account, checking the consent box at signup, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and your account

• You must be at least 13 years old (or at least 16 where you live in the European Economic Area or United Kingdom) to use the Service, and you confirm this when you sign up.
• You are responsible for your account credentials and for all activity under your account. Choose a strong password; we screen passwords against known breach lists and enforce a minimum length. Two-factor authentication is available in Settings and we recommend enabling it.
• You must provide accurate information and keep your email address current — it is how we reach you about your account, billing, and security.

3. Plans, billing, and trials

Quillx is a paid service. There is no free plan.

• Where you live. Before checkout you tell us whether you live in the European Union, the European Economic Area or the United Kingdom. If you do, the right of withdrawal below applies.
• Free trial. New customers may take a single 14-day free trial of the Personal plan. A payment method is required to start the trial; unless you cancel before the trial ends, the trial converts to a paid Personal subscription. Each account may use the trial once.
• Collaboration is owner-pays. A Plus or Pro subscriber can invite anyone to their projects — including Personal subscribers — and invitees participate fully in those projects. Hosting collaboration on your own projects requires Plus or higher.
• Billing and renewal. Subscriptions renew monthly until canceled. You can cancel, change plan, or update your payment method anytime from Profile → Plan & billing. Cancellation takes effect at the end of the current billing period and you are not charged again; if a payment has failed or your subscription is unpaid or paused, cancellation takes effect immediately and nothing further is charged, including the payment that failed.
• Payments. Payments are processed by Stripe through its Managed Payments service, under which Stripe acts as the merchant of record for your purchase and handles the applicable sales taxes. Prices are in US dollars and do not include sales tax, VAT or GST. Any tax that applies is calculated at checkout from your billing address and added to the price, at each renewal too. Your checkout and receipt identify the amount, currency, applicable taxes and billing details for your purchase. Contact support@quillx.co for Quillx billing assistance.
• Price changes. We may change prices. We will email you a notice of a price change, with how to cancel, no less than 7 and no more than 30 days before the new price applies to your subscription; it applies from your next renewal after that notice.
• Refunds. Fees are non-refundable except where required by law.

Right of withdrawal (EU, EEA and UK)

If you live in the European Union, the European Economic Area or the United Kingdom and buy as a consumer, this section applies to each plan and each credit top-up you buy. It does not limit any other right the law where you live gives you.

• Right of withdrawal. You have the right to withdraw from the contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day the contract is concluded, which is the day your checkout completes.
• How to withdraw. Inform us of your decision by a clear statement, by email to support@quillx.co or by letter to The Fifth Division Inc., 1437 N Campbell Road, Bowling Green, KY 42101, United States. You may use the model withdrawal form below, but you do not have to. To meet the deadline, it is enough to send your message before the 14 days end.
• Starting straight away. Before checkout we ask whether you want your plan or credits to start during the withdrawal period. We start only if you ask, and you acknowledge that you lose the right to withdraw once the contract has been fully performed (for a top-up, when all its credits have been used). We confirm your request and acknowledgement by email.
• Effects of withdrawal. If you withdraw, we reimburse all payments received from you for that purchase without undue delay, and no later than 14 days after the day we are informed of your decision, using the same means of payment you used, at no cost to you. If you asked us to start during the withdrawal period, you pay an amount in proportion to what was provided until you told us, compared with the full coverage of the contract: for a plan, the share of the billing period that had passed or, on Pro, the share of that period’s AI credits you used, whichever is greater; for a top-up, the credits you used. During a free trial nothing has been charged, so nothing is owed. When you withdraw from a plan, the plan ends and its credits are removed.
• Payments through Link. Stripe’s Link, which processes your payment, also lets you ask Link support for a refund during a 14-day cooling-off period under its own terms.

AI credits (Pro and Enterprise)

• What a credit is. One credit is $0.01 of our AI providers’ list price for the work a request uses (its prompt, any cached context, and its output). Your balance is shown in Quill and in Profile.
• Monthly allowance. Pro includes 1,000 credits for each paid billing period (Enterprise: as agreed). The allowance is normally added when that period’s payment succeeds; if a payment confirmation is delayed, we may add it earlier. It resets at the start of each billing period; unused allowance does not carry over.
• Top-ups. Active Pro subscribers can buy credit top-ups. Top-up credits are used after your monthly allowance, do not expire while your account exists, and can be used only while you have an active plan that includes AI.
• How usage is charged. Before a request runs we set aside up to its maximum possible cost from your balance, then charge what it actually used. A request that starts while you still have credit may finish even if it costs a little more than you have left; the difference is recorded against that period’s allowance (shown as a negative balance), never against top-ups. If a request fails because of a technical problem before producing any output, you are not charged. If you stop a request, you are charged for the work the provider had already done.
• Limits. Fair-use limits apply per day (Pro: 1,000 AI requests and 10 million tokens) and to the number of AI requests you can run at once. While a payment dispute on your account is open, AI features are paused.
• Refunds. Credits and top-ups have no cash value and are not refundable, except where required by law.
• Cancel, downgrade, and deletion. If you cancel Pro, you can use your allowance until your paid period ends. If you move to a plan without AI, AI access ends when that change takes effect. Unused allowance ends with its period; purchased top-ups stay on your account and can be used again if you return to Pro. When your account is permanently deleted, any remaining credits and top-ups end without refund, except where required by law.

4. Your content

• You own your writing. Manuscripts, notes, comments, and everything else you create in Quillx (“Your Content”) remain yours. These Terms grant us no rights in Your Content except the limited license below.
• License to operate the Service. You grant us a worldwide, non-exclusive license to host, store, transmit, display, and process Your Content solely to provide and secure the Service (for example: saving your work, syncing it to your collaborators, generating exports you request, and processing AI requests you initiate). This license ends when Your Content is deleted from the Service.
• We do not train AI models on Your Content. Our AI providers (Anthropic and OpenAI) do not use API content to train their models by default, but may keep it for a limited time, for example for abuse monitoring or where the law requires it (see the Privacy Policy for details).
• Collaboration. When you join someone’s project or invite someone to yours, project participants can see the project content their role permits. The project owner controls membership and permissions.
• Responsibility. You are responsible for Your Content and for having the rights to anything you upload or import.

5. Acceptable use

You agree not to:

• break the law, infringe others’ intellectual property, or violate others’ privacy;
• upload malware, attempt to breach or probe the Service’s security, or access other users’ data;
• abuse, overload, resell, or scrape the Service, or use it to build a competing service;
• circumvent plan entitlements, usage limits, or technical protections;
• use AI features to generate content that is illegal or that you present as another real person’s work without disclosure.

We may suspend or terminate accounts that violate these Terms; where reasonable we will warn you first.

6. AI features

AI features (available on Pro and Enterprise) are assistive tools. Quill does not write your manuscript: it proofreads, checks consistency, gives feedback and recommendations, answers questions about your book, and explains craft and industry standards. AI output can be wrong, incomplete, or unoriginal — review it before you rely on it. Corrections AI proposes to your manuscript require your confirmation before they are applied. You are responsible for the content you keep and publish. Our AI data-handling commitments are in the Privacy Policy.

7. Publishing tools

Quillx’s Publishing Hub produces artifacts (export files, launch kits, ONIX metadata, cover templates, barcodes, and similar). Distribution to retailers is manual and governed by each retailer’s own terms; you are responsible for complying with them. Quillx does not submit works to retailers on your behalf.

8. Account deletion and data export

• You can delete your account in Settings → Danger Zone, or by emailing support@quillx.co from the address you sign in with. We cancel your subscription so you are not charged again and keep your account and everything in it for 30 days, in case you change your mind; sign in within those 30 days to restore it. After those 30 days, your account, writing, files and settings are permanently deleted. If other people work on a project you own, we first hand it over or confirm its deletion with you. Billing records the law requires us to keep are kept separately, and copies in our database backups expire as described in our Privacy Policy.
• You can export each project at any time from its Publishing Hub (PDF, Word, EPUB, Markdown or plain text). For a full copy of your account data, email support@quillx.co.

9. Service changes and availability

We work to keep the Service fast and available, but it is provided “as is” without uptime guarantees (Enterprise agreements may say otherwise). We may change, add, or remove features. If we discontinue the Service entirely, we will give you at least 30 days’ notice and the opportunity to export your data.

10. Disclaimers and liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED; WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms excludes liability that cannot be excluded by law.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for material breach of these Terms, and will refund any prepaid fees for the unexpired period if we terminate without cause. Sections that by their nature survive (Your Content ownership, disclaimers, liability limits, governing law) survive termination.

12. Changes to these Terms

We may update these Terms. For material changes we will notify you (email or in-app) at least 14 days before they take effect; continuing to use the Service after that date means you accept the updated Terms. The current version is always at this page.

13. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, United States, excluding its conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Tennessee. Mandatory consumer-protection rules of the place where you live are not affected where they apply.
